the 'winmail.dat' file is microsoft's way of encapsulating RTF data and tunneling it over the internet to another microsoft mail product User. the data is encoded in a proprietary format called Transport Neutral Encapsulation Format (TNEF) and since it's proprietary, we don't grok it.
(only recently have third party 'decapsulation' programs and specifications appeared. for example, goto http://www/wotsit.org/ and search for TNEF to see a TNEF spec. disclaimer: i have no idea of this document's source. similarly, you can use google to look for TNEF decoders. )

david refers to a couple of microsoft technical notes which will probably tell you how to tell your correspondent how to turn off TNEF at the client or exchange server.
